Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“You”, “User”) and the operator of the Client Portal (“Company”, “We”, “Us”). By accessing or using the Portal, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Portal.

1. Scope and Purpose

The Portal provides authenticated users with access to logistics-related functionality, such as shipment visibility, status tracking, documentation, and service integrations. The Portal is intended for business use and may be restricted to authorized customers and partners.

2. Eligibility and Accounts

  • You must be authorized by your organization to use the Portal.
  • You are responsible for maintaining confidentiality of your credentials and for all activity under your account.
  • You must provide accurate and current information when requested.

3. Acceptable Use

You agree not to:

  • Access, probe, or scan the Portal in a way that could compromise security or availability.
  • Reverse engineer, copy, or attempt to derive source code, underlying ideas, or algorithms except where allowed by law.
  • Upload or transmit malware, unlawful content, or data you do not have the right to process.
  • Use the Portal to violate applicable laws, regulations, or third-party rights.

4. Data and Content

You retain ownership of data you submit or access through the Portal (“Customer Data”). We process Customer Data only to provide and improve the Portal, maintain security, support operations, and fulfill contractual obligations. You represent that you have all required rights and legal bases to provide Customer Data.

5. Availability and Changes

We aim to keep the Portal available and reliable, but we do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features, including for maintenance, security reasons, or platform upgrades. We may also introduce limits such as rate-limits or fair-usage thresholds.

6. Security

We use reasonable technical and organizational measures to protect the Portal and Customer Data. You agree to use strong passwords, restrict access to authorized users, and promptly notify us of suspected account compromise or security incidents.

7. Third-Party Services

The Portal may interact with third-party services (for example, carriers, payment providers, messaging, or identity providers). Third-party services are governed by their own terms and policies, and we are not responsible for their availability or performance.

8. Intellectual Property

The Portal, including its software, design, and documentation, is owned by the Company or its licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to access and use the Portal for its intended business purpose.

9. Confidentiality

You may receive non-public information about the Portal, pricing, operations, or integrations. You agree to protect such information and use it only for authorized purposes. Confidentiality obligations do not apply to information that is public through no fault of yours or received lawfully from another source.

10. Disclaimers

The Portal is provided on an “as is” and “as available” basis. To the extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Portal will meet your requirements or be error-free.

11. Limitation of Liability

To the extent permitted by law, the Company will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Portal. Our total liability under these Terms will not exceed the amounts paid by you (or your organization) for the Portal during the twelve (12) months prior to the event giving rise to the claim, unless applicable law requires otherwise.

12. Termination

We may suspend or terminate access to the Portal if we reasonably believe you have violated these Terms, created security risks, or used the Portal unlawfully. You may stop using the Portal at any time. Sections that by their nature should survive termination (including IP, confidentiality, disclaimers, and limitation of liability) will survive.

13. Governing Law

These Terms are governed by applicable laws agreed with your organization or, if not specified, the laws of the jurisdiction where the Company is established, excluding conflict-of-law rules.

14. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice within the Portal or by other reasonable means. Your continued use of the Portal after the effective date of the updated Terms constitutes acceptance.
